License Agreement for Jpeg2000.Net

This End User License Agreement (“Agreement” or “EULA”) is a legal contract between you (“Licensee”) and Bit Miracle (“Licensor”) governing the use of Jpeg2000.Net, including its binaries, documentation, and sample code (“Product”). By installing, accessing, or using the Product, you accept the terms of this Agreement. If you do not agree, you must not install or use the Product.

The Product is licensed, not sold. Bit Miracle retains all intellectual property rights.

1. Definitions

  • Product means the Jpeg2000.Net software provided by Bit Miracle, including its binaries, libraries, documentation, sample code, and any updates, upgrades, or supplemental materials delivered under this Agreement.
  • API means a publicly accessible interface through which software may request services from libraries or components.
  • SaaS means a software delivery model in which an application is provided to customers as an on‑demand service.
  • SDK means a set of development tools enabling creation of applications for a specific platform or framework.
  • You and Licensee mean the individual or entity obtaining a license under this Agreement.
  • Derived Works means software or services created by the Licensee that internally use or execute the Product, but do not include the Product itself, any part of its public API, or any work that exposes or provides the Product’s functionality to unlicensed third parties.

2. Grant of License

2.1 License Types

Bit Miracle grants You a non‑exclusive, non‑transferable license to use The Product under one of the following license types: Evaluation or Ultimate. Your purchase documentation specifies the license type granted.

The Ultimate license is perpetual, royalty‑free, and permit use by an unlimited number of developers within the Licensee’s organization.

i. Evaluation License

The Evaluation License allows You to use The Product for evaluation purposes only. You may install and test The Product internally, but You may not use it in production, not distribute any software that includes The Product, and not make The Product available to third parties.

The Evaluation License requires a free time‑limited license key, valid for 31 days. You may not use the temporary evaluation key in any production environment or in any software distributed to Your users.

ii. Ultimate License

The Ultimate License allows You to use The Product in any number of Your applications and on any number of Your servers, including production servers, staging servers, development machines, build servers, and cloud environments — all within a single legal entity.

The Ultimate License is granted to a single legal entity and may be used only by that entity. You may use the Product to develop applications, services, or solutions for Your customers, but Your customers may not use the Product directly, may not receive the Product or any portion of it, and may not rely on Your Ultimate License for their own use. The Ultimate License may not be shared across multiple customers or entities.

2.2 Scope of Use

You may use the Product to build and distribute applications, services, APIs, and SaaS offerings that provide functionality implemented using the Product, including JPEG 2000 encoding, decoding, transcoding, and analysis.

You may not expose the Product itself — including its classes, methods, properties, or public API — to any third party in a licensed mode. Third parties may interact only with your own logic and abstractions.

Providing the Product “as a service” or enabling licensed execution by unlicensed parties is strictly prohibited.

2.3 Ownership and Term

The Product is licensed, not sold. Bit Miracle retains all intellectual property rights.

Unless otherwise stated in purchase documentation, licenses are perpetual.

Support and updates may be time‑limited.

3. Restrictions and Prohibited Actions

3.1 Redistribution Restrictions

You may not distribute the Product in any form that allows it to be reused by any application other than your derived work.

Prohibited actions include:

  • Including the Product in an SDK.
  • Using the Product to develop derived works that expose its features through an API for unlicensed third parties.
  • Using the Product to develop derived works offering similar functionality for any development platform.
  • Naming derived works “Bit Miracle” or “Jpeg2000.Net” or using these names in titles without written permission.
  • Using Bit Miracle trademarks to endorse or promote derived products without authorization.

You may not allow Your customers or any third party to use the Product under Your Ultimate License, or rely on Your license for their own applications, services, or servers.

3.2 Competition Boundaries

You may not use the Product to create any product that competes with the Product or provides substantially similar developer‑facing capabilities. You may not expose the Product or its API to third parties. For clarity, this does not restrict Your own applications, services, APIs, or SaaS offerings that use the Product internally.

3.3 No Reverse Engineering

You may not reverse engineer, decompile, disassemble, translate, adapt, or otherwise attempt to derive the source code, underlying structure, algorithms, file formats, or internal workings of the Product, nor modify, alter, or create derivative works based on the Product, except to the extent expressly permitted by applicable law notwithstanding this restriction.

3.4 No Sublicensing, Rental, or Lending

You may not sublicense, rent, lease, lend, or otherwise provide the Product or its functionality to any third party except as expressly permitted.

3.5 Termination

Bit Miracle may terminate this Agreement if you fail to comply with its terms. Upon termination, you must destroy all copies of the Product, backups, and derived works.

4. Delivery, Updates, and Upgrades

4.1 Delivery

The Product is delivered electronically. You are responsible for downloading it from bitmiracle.com.

A license key will be provided electronically.

4.2 Updates and Support

Purchase of the Product entitles the Licensee to both software updates and technical support for a period of one (1) year from the date of purchase.

All updates provided during this period are governed by this Agreement unless accompanied by separate terms. Support is limited to assistance directly related to the Product’s functionality, usage, and defect resolution.

4.3 Discontinuation

Bit Miracle may discontinue the Product at any time. In the event of discontinuation, Bit Miracle will use commercially reasonable efforts to provide notice to the Licensee and to preserve access, for a period, to the last stable version of the Product available at the time of discontinuation.

Any continued access or availability is provided on an “as‑is” basis and does not grant the Licensee any additional rights beyond those already granted under this Agreement.

4.4 Upgrades

Installing an upgrade or newer version of the Product automatically transitions the Licensee from the prior version’s End User License Agreement to the End User License Agreement accompanying the upgraded version. By installing the upgrade, the Licensee voluntarily terminates all rights granted under the previous EULA and agrees to be bound solely by the terms of the updated EULA applicable to the upgraded Product.

5. Intellectual Property Rights

All title and intellectual property rights in the Product are owned by Bit Miracle or its suppliers.

Rights to content accessed through the Product belong to their respective owners.

All rights not expressly granted are reserved.

6. Confidentiality

Each party (“Receiving Party”) may receive non‑public technical, business, or licensing information from the other (“Disclosing Party”) in connection with this Agreement (“Confidential Information”). Confidential Information includes any information marked as confidential or that a reasonable person would understand to be confidential.

The Receiving Party shall:

  • use Confidential Information solely to exercise rights or perform obligations under this Agreement;
  • protect Confidential Information using commercially reasonable measures;
  • limit access to individuals who need to know the information and who are bound by confidentiality obligations.

Confidential Information may be disclosed only as required by law, and only with prompt notice to the Disclosing Party (unless prohibited by law).

7. Warranty and Disclaimer

Except for evaluation versions, Bit Miracle warrants for thirty (30) days that the Product will perform substantially in accordance with the documentation when used with recommended hardware and software configurations.

Evaluation versions are provided “AS IS”.

Bit Miracle disclaims all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. The Product is not designed for use in hazardous environments requiring fail‑safe performance.

If applicable law requires any warranties despite the above disclaimer, such warranties are limited to ninety (90) days.

8. Exclusive Remedy

Your exclusive remedy is to return the Product with a receipt and problem description.

If non‑compliance is reported within thirty (30) days, Bit Miracle will use reasonable efforts to provide a replacement or refund the purchase price.

Misuse, accident, abuse, modification, or misapplication voids the warranty.

9. Limitation of Liability

Except for confidentiality breaches and intellectual property defense costs:

  • Bit Miracle is not liable for indirect, special, incidental, punitive, cover, or consequential damages.
  • Total liability is limited to the amount paid for the Product.
  • These limitations apply to all aspects of this Agreement.

10. Indemnity

The Licensee agrees to defend, indemnify, and hold Bit Miracle harmless from any third‑party claims arising from the Licensee’s applications, services, or use of the Product in violation of this Agreement.

Bit Miracle will defend and indemnify the Licensee against third‑party claims alleging that the unmodified Product infringes intellectual property rights, provided the Licensee promptly notifies Bit Miracle and allows Bit Miracle to control the defense and settlement.

If Bit Miracle determines that continued use of the Product may be subject to an infringement claim, Bit Miracle may, at its discretion, (i) obtain rights for the Licensee to continue using the Product, (ii) replace or modify the Product, or (iii) terminate the Licensee’s right to use the Product and refund the amount paid for the license.

11. Taxes

All fees are exclusive of taxes.

You are responsible for all taxes except those based on Bit Miracle’s net worth, capital, or net income.

12. General Legal Terms

12.1 No Waiver

Failure by either party to enforce any provision of this Agreement shall not be considered a waiver of that provision or of any rights under the Agreement. Any waiver must be expressly stated in writing to be effective. The absence of enforcement at one time does not prevent enforcement at a later time.

12.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be removed or limited to the extent necessary, and the remainder of the Agreement shall continue in full force. The parties intend that the remaining terms be interpreted to preserve their original purpose as closely as possible.

12.3 Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable at the principal place of business of Bit Miracle, without regard to conflict‑of‑law principles.

12.4 Arbitration

Disputes arising under this Agreement shall be resolved through binding arbitration conducted in the jurisdiction of Bit Miracle’s principal place of business, under commercially recognized arbitration procedures applicable in that jurisdiction.

12.5 Further Instruments

Each party shall execute documents reasonably required to carry out this Agreement.

12.6 Captions

Headings are for convenience only.

12.7 Consent to Use of Data

Bit Miracle may collect and use technical information that the Licensee voluntarily provides in communications with Bit Miracle, including information submitted with bug reports, support requests, or similar interactions. Such information may be used solely to improve Bit Miracle products and to deliver support or related services to the Licensee.

Bit Miracle does not share any confidential information or any information that identifies the Licensee personally with third parties.

12.8 Publicity

Bit Miracle will not publicly identify the Licensee as a customer, nor use the Licensee’s name, logo, trademark, or other identifying brand elements, without the Licensee’s prior written consent.

12.9 Updates

Bit Miracle may update this Agreement at any time. Updates are effective upon posting. If you do not agree, you must destroy all copies of the Product and notify Bit Miracle within sixty (60) days.

12.10 Survival

The following Sections survive termination of this Agreement:

Confidentiality (Section 6);
Warranty and Disclaimer (Section 7);

Arbitration (Section 12.4);

All rights and obligations that by their nature should survive termination shall also remain in effect.

12.11 Entire Agreement

This Agreement supersedes all prior communications. If any Bit Miracle support policy conflicts with this Agreement, this Agreement controls.
